SUPPLY ETHICS POLICY AMENIX

This policy applies to all service providers, suppliers, consultants, clients, business partners, third-party contractors or subcontractors, tenants, commercial space assignees, whether individuals or legal entities, regardless of formal contract, including those whouse the Company’s name for any purpose or provide services, supply materials, interact with public officials, the government, or others on behalf of the Company to execute the contracted business. Together, these are referred to as Suppliers.

1. COMPLIANCE WITH LAWS, STANDARDS, AND REGULATIONS

Suppliers must comply with applicable laws, standards, and regulations. This includes, but is not limited to, respect for health, safety, human rights, labor, the environment, local legislation, including tax, fiscal, and anti-corruption laws. Suppliers must not negotiate, offer, promise, receive, facilitate, pay, authorize, or provide bribes, including “facilitation payments.” We value our reputation for conducting business with honesty and integrity. We do not negotiate, offer, promise, receive, facilitate, pay, or authorize bribes to improve or secure our activities, directly or indirectly, and are not authorized to do so or permit third parties to do so on behalf of the Company. We do not adopt, encourage, or permit practices that constitute or result in harmful acts to Public Administration, domestic or foreign, as stipulated by law. This commitment to honesty and integrity permeates all levels of the Company, and we expect our Suppliers to adhere to the same high standards. The Company is strongly committed to preventing the use of its operations for money laundering and does not condone or tolerate such practices for any purpose. Suppliers must embrace and exhibit the same conduct.

2. RELATIONSHIP WITH SUPPLIERS

Our Suppliers have a direct influence on the quality of our products and services. Therefore, we value partnership relationships, considering what benefits all stakeholders involved. The relationship with our Suppliers will be characterized by adherence to the principles of this Policy. The Company practices free competition, transparency, and impartiality in the supplier contracting process, as well as strict adherence to contracts. a. Monitor and prevent forced or compulsory labor, child labor, pedophilia, discrimination, moral and sexual harassment, tax evasion, corruption, and money laundering within their value chains; b. Establish internal policies and/or social inclusion programs, ethical conduct codes, corporate responsibility measures, environmental management policies to reduce or minimize environmental impacts related to their business, and actions promoting diversity, equity, and training for employing people with disabilities and apprentices, and free association; c. Manage their supply chains, identify critical suppliers from a sustainability perspective, and set improvement goals for economic, social, and environmental indicators in this group; d. Manage economic, social, labor, fiscal, and environmental risks within their supply chains to ensure business continuity; e. Internally encourage and support small and medium-sized local suppliers for economic development; f. Establish and recommend that their suppliers have ethical conduct codes regarding personal and commercial relationships; g. Ensure timely and correct payment of obligations to Employees (including tax, labor, and social security obligations), practices guaranteeing salaries that meet minimum standards for the category and region, and are sufficient to meet basic needs, and ensure legally required health and safety conditions for Employees and outsourced workers.

3. SUPPLIER SELECTION

The Company contracts suppliers whose management practices align with the principles of this Policy, with the goal of expanding the supplier base without restrictions regarding size, scale, or location, provided that they can offer their product or service in compliance with the disclosed needs and specifications and are administratively capable of supplying. The Company monitors the development and performance of its Suppliers. The assessment aims to support management improvement and strengthen the partnership between the Company and its Suppliers.

4. POSITIVE WORK ENVIRONMENT

It is essential that Suppliers foster a positive work environment where all Employees feel respected and productive. Integrity, honesty, and respect are the Company’s principles, and it expects Suppliers to maintain a commitment to a positive, open, and inclusive work environment, free from discrimination, violence, and harassment.

5. UNFAIR COMPETITION

The Company values free and fair competition among its suppliers. We do not condone practices such as trusts or cartels, fraud, espionage, abuse of economic power, bribery, or extortion, nor gifts and presents that are not of symbolic value. The Company respects its competitors and believes that fair competition contributes to market improvement.

6. SOCIAL MEDIA

Suppliers, as well as their Employees, must act on social media respecting the Company’s values and this Policy when mentioning the Company or referencing any of its Employees or third parties.

7. HUMAN RIGHTS

The Company respects and promotes human rights in its activities and seeks to establish cordiality, trust, respect, and dignity in relations between its Employees and the Suppliers’ Employees, regardless of hierarchical position, title, or role. The Company does not tolerate discrimination, intimidation, or harassment, whether moral or sexual, including offensive jokes or mockery. No form of discrimination will be tolerated, whether due to age, color, race, religion, gender, marital status, family situation, sexual orientation, nationality, or any other characteristic protected by law. The Company expects its Suppliers to monitor potential situations and address them appropriately. Suppliers must commit to ensuring health and safety in the workplace. They must provide their Employees with decent working conditions concerning hours, health, and safety, always respecting applicable labor laws. Everyone has the right to work in a safe and healthy environment. To this end, they must: comply with laws, refrain from engaging in dangerous or illegal acts, prohibit illicit substances within the company, and avoid child or forced labor as well as human trafficking.

8. POLITICAL ACTIVITIES AND FREE ASSOCIATION

The Company is nonpartisan and respects the individual rights of Employees and Suppliers regarding their political and union involvement. Thus, the Company expects its Suppliers to recognize freedom of association and collective bargaining agreements.

9. LABOR PRACTICES

The Company’s Suppliers must remunerate their Employees and provide all legally mandated benefits. They must also ensure the selection of business partners that operate in compliance with the labor laws of their region and ethical standards aligned with the premises defined herein. The Company understands health and safety as essential values that should guide daily actions, behaviors, and decisions, such as:

Providing adequate working conditions and environments
Complying with current health and safety laws
Prohibiting dangerous or violent behaviors
Prohibiting illicit substances within the company
Prohibiting unauthorized weapons and flammable materials, unless required by the company’s activities.

10. ENVIRONMENT

The Company actively participates in the protection of ecosystems surrounding its single headquarters, ensuring care in the manufacturing, handling, and transport of its products. This includes aiding in forest reserve preservation, preventing waste of natural resources, and promoting the development of sustainable and biodegradable products within its sector. It complies with all applicable environmental laws and is responsible to environmental agencies and society for any damage or harm it may cause to the environment. The Company respects legal acts, regulations, and administrative measures issued by Federal, State, and Municipal authorities, including compliance with Federal Law No. 6.938/81 (National Environmental Policy), Law No. 9.605/98 (Environmental Crimes Law), and Law No. 12.305/10 (National Solid Waste Policy), while also encouraging representatives and suppliers to commit to efforts to protect and preserve the environment and prevent harmful practices. Environmental management system certification is considered a good management practice, and its implementation is recommended. The Company contributes to ecologically sustainable development by continuously reducing the environmental impact of its inputs, operations, products, and services in line with its internal Sustainability Policy.

11. CONFIDENTIALITY

The Company expects all matters concerning the company, without exception, to be treated with confidentiality by its Suppliers, respecting intellectual property rights. Suppliers must adhere to data protection laws, including the current General Data Protection Law (LGPD). Access to Company information should be restricted to individuals who need it for specific purposes, and this information must be used only for supplying or service purposes. Suppliers must treat as confidential all non-public information received from the Company, abiding by data protection laws, regardless of the medium or format. Confidentiality extends indefinitely after the termination of contracts or until such information becomes public. Security of information such as product scopes, services, and business strategies shared with Suppliers must also be kept confidential and not shared or disclosed without prior written consent from the Company.

12. TRANSPARENCY OF INFORMATION

Transparency is a fundamental component in all Company relations. Transparent behavior includes: a. Clarity and transparency in information necessary for the quotation, contracting, purchase, and management of products and services. b. Veracity of legal, fiscal, economic-financial, health, safety, environmental, quality, and professional training information in relations with the Company. c. Clear opinions regarding practices that result in the best possible service delivery, avoiding errors. d. Capability to fulfill contracted services based on the information, knowledge, and skills possessed. e. Adoption of good corporate governance practices, ensuring fairness, accountability, transparency, and responsibility for results. A Suggestion Box is available for the confidential communication of any irregularities or reports.

13. LEGAL AND DISCIPLINARY MEASURES FOR VIOLATIONS OF THIS CODE

The Company reserves the right to take appropriate legal and disciplinary measures for violations of this Policy. In more serious cases, actions may result in the termination of contracts established between the parties, and legal procedures may be initiated as appropriate.
